Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the WorkForce Registry platform (the "Service") operated by Workforce Registry, LLC ("us", "we", or "our").
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
1. Acceptance of Terms
By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the terms, then you may not access the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
2. Description of Service
WorkForce Registry is a credentialing and workforce registry platform that enables organizations to manage employee credentials, certifications, licenses, and professional documentation. The Service allows organizations to define roles, credential requirements, track employee qualifications, and verify professional documents.
The Service includes but is not limited to user profile management, organization management, credential verification, document upload and storage, role assignment, and reporting functionalities.
3. User Accounts and Registration
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar, or obscene.
4. User Responsibilities
As a user of the Service, you agree to:
- Provide accurate and truthful information about your credentials, certifications, and professional qualifications
- Upload only legitimate and authentic documents to verify your credentials
- Maintain the confidentiality of your account credentials
- Promptly update your profile information when changes occur
- Notify us immediately of any unauthorized access to your account
- Comply with all applicable laws and regulations
5. Organization Accounts
Organizations using the Service to manage workforce credentials are responsible for:
- Ensuring that organization administrators have proper authority to act on behalf of the organization
- Defining accurate and appropriate credential requirements for roles within the organization
- Reviewing and verifying user-submitted documents in a timely and fair manner
- Maintaining the accuracy of organization information and role definitions
- Complying with all applicable employment laws and regulations
- Ensuring proper authorization before adding users to the organization
6. Credential Management and Verification
The Service facilitates credential management and document verification, but does not independently verify the authenticity of credentials or documents. Organizations are responsible for conducting appropriate due diligence when reviewing user-submitted credentials and documents.
Users understand that credential verification decisions are made by organization administrators and that we do not make employment or qualification decisions. We are not liable for any decisions made by organizations based on information provided through the Service.
Users acknowledge that falsifying credentials, submitting fraudulent documents, or misrepresenting qualifications constitutes a material breach of these Terms and may result in immediate account termination and potential legal action.
7. Document Upload and Storage
When you upload documents to the Service, you grant us a license to store, process, and display those documents as necessary to provide the Service. You retain all rights to your documents, and we will not use them for any purpose other than providing the Service.
You represent and warrant that you have the right to upload all documents you submit and that such documents do not violate any third-party rights or applicable laws.
We implement reasonable security measures to protect uploaded documents, but we cannot guarantee absolute security. You agree that we are not liable for unauthorized access to your documents except in cases of our gross negligence or willful misconduct.
8. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.
We collect and process personal information including but not limited to names, contact information, employment details, credential information, and uploaded documents. By using the Service, you consent to such collection and processing in accordance with our Privacy Policy.
9. Intellectual Property Rights
The Service and its original content, features, and functionality are and will remain the exclusive property of Workforce Registry, LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Workforce Registry, LLC. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.
10. Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Uploading false, fraudulent, or misleading documents or information
- Impersonating another person or entity
- Attempting to gain unauthorized access to any portion of the Service or any other systems or networks
- Using the Service for any illegal purpose or in violation of any local, state, national, or international law
- Interfering with or disrupting the Service or servers or networks connected to the Service
- Using any automated system to access the Service in a manner that sends more request messages than a human can reasonably produce
- Transmitting any viruses, malware, or other malicious code
- Collecting or harvesting any personally identifiable information from the Service
- Using the Service to transmit unsolicited communications
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE. WE DO NOT WARRANT THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WORKFORCE REGISTRY, LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
- Employment decisions made by organizations based on information in the Service
- Any errors or omissions in any content or any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify, defend, and hold harmless Workforce Registry, LLC, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or relating to:
- Your violation of these Terms or any applicable law or regulation
- Your violation of any rights of a third party
- Your use or misuse of the Service
- Any false or misleading information you provide
- Any fraudulent documents you upload
14. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the Service and request account deletion by contacting us.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
15. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the United States and the State in which Workforce Registry, LLC is organized, without regard to its conflict of law provisions.
Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the jurisdiction where Workforce Registry, LLC maintains its principal place of business. Judgment on the arbitral award may be entered in any court having jurisdiction.
Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
16. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
17. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
18. Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
19. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, shall constitute the entire agreement between you and Workforce Registry, LLC concerning the Service.
